1. Introduction
These Terms & Conditions govern the provision of logistics, freight forwarding, warehousing, and related services by Triumph International Logistics (“the Company”). By engaging the Company’s services, the Client agrees to be bound by these Terms & Conditions.

2. Definitions
Company: Triumph International Logistics, its employees, agents, and subcontractors.
Client: Any individual, business, or entity requesting services from the Company.
Goods: Any cargo, merchandise, or items handled, stored, or transported by the Company.
Services: All logistics, freight forwarding, warehousing, customs clearance, and related activities provided by the Company.

3. Scope of Services
The Company provides logistics and supply chain solutions including, but not limited to:

Freight forwarding (air, sea, and land)
Customs brokerage and clearance
Warehousing and distribution
Cargo handling and packaging
Supply chain management

4. Client Responsibilities
Provide accurate and complete information regarding Goods, including description, weight, dimensions, and value.
Ensure Goods are properly packed, labeled, and compliant with applicable laws and regulations.
Obtain and provide all necessary permits, licenses, and documentation required for transportation and customs clearance.
Pay all fees, charges, and duties associated with the Services in a timely manner.

5. Company Responsibilities
Exercise reasonable care and diligence in handling, storing, and transporting Goods.
Provide Services in accordance with industry standards and applicable laws.
Communicate promptly with the Client regarding delays, damages, or issues affecting the Services.

6. Liability & Limitations
The Company’s liability for loss, damage, or delay of Goods is limited to the lesser of:
The actual value of the Goods, or
The amount recoverable under applicable international conventions or national laws.
The Company shall not be liable for:
Acts of God, natural disasters, or force majeure events.
Losses arising from inaccurate or incomplete information provided by the Client.
Consequential, indirect, or special damages, including loss of profits.

7. Insurance
The Company does not automatically provide insurance coverage for Goods.
Clients are responsible for arranging insurance or may request coverage through the Company at an additional cost.

8. Payment Terms
All invoices are payable within the agreed credit period or, if not specified, within 14 days of issuance.
Late payments may incur interest charges at the prevailing commercial rate.
The Company reserves the right to withhold Goods or suspend Services until outstanding payments are settled.

9. Customs & Compliance
The Client is responsible for ensuring Goods comply with all import, export, and customs regulations.
The Company acts as an agent for customs clearance and is not liable for penalties, fines, or delays caused by regulatory non-compliance.

10. Indemnity
The Client agrees to indemnify and hold harmless the Company against any claims, damages, penalties, or expenses arising from:

Misrepresentation of Goods.
Breach of applicable laws or regulations.
Failure to provide accurate documentation.

11. Force Majeure
The Company shall not be held liable for delays, losses, or failures in performance caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, wars, government actions, or transportation disruptions.

12. Termination
Either party may terminate the agreement with written notice if the other party breaches these Terms & Conditions.
Termination does not relieve the Client of the obligation to pay for Services rendered prior to termination.

13. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered. Any disputes shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

14. Amendments
The Company reserves the right to amend these Terms & Conditions at any time. Updated versions will be made available to Clients and shall take effect immediately upon publication.

15. Entire Agreement
These Terms & Conditions constitute the entire agreement between the Company and the Client and supersede any prior agreements, representations, or understandings.
